The following terms and conditions (‘the conditions’) are the terms on which Aldercroft Ltd (‘the company’) sells products and/or provides a joinery service (‘the goods’) and supersedes all other terms and conditions relating to the subject matter of these conditions, apart from further or altered conditions specified in individual estimates or quotations:

 

1.1
The price for the goods (‘the price’) shall be the price stated on the quotation or estimate provided by Aldercroft Ltd. You will pay the price for the goods in three instalments. The first instalment of 50% is payable on signing the quotation or placing the order. The second instalment of 25% is payable once the final design has been agreed and signed off by the customer. The final instalment of 25% will be payable once the goods have been fitted or delivered if we are not fitting.

1.2
Aldercroft Ltd understands and will exercise its statutory right to claim interest and compensation for debt recovery costs under the late payment legislation if Aldercroft Ltd are not paid according to agreed payment terms.

1.3
Prices quoted are inclusive of Value Added Tax which is charged at the rate or rates applicable to the product at the date of estimate.

1.4
Where estimates are based upon specification, drawings, quantities and other information provided by the customer, they will be subject to re-measurement and the final amount payable by the customer shall be based upon the re-measured quantities.

1.5
Aldercroft Ltd reserves the right to adjust quoted prices in the event of significant variations to quantities.

1.6
Aldercroft Ltd retains absolute discretion regarding quantities and dates of material deliveries. If for any reason the customer does not accept delivery of the goods on the day agreed, they shall be liable for aborted transportation costs and/or arranged labour and warehouse handling costs and storage charges. Aldercroft Ltd shall not be liable for any depreciation, deterioration or damages howsoever caused by delay in delivery by the customer and will invoice the goods and seek due payment.

1.7
In the event of default in payment by the customer , Aldercroft Ltd shall be entitled without prejudice to any other rights or remedies to suspend all further operations on the works under this or any other contract between the parties and to pursue the debt under the terms of the late payment of commercial debts.

1.8

You must ensure that the premises are ready for installation on the agreed delivery date. If we are forced to provide labour to do this, you will pay our charges for the work. For fitting of a new kitchen, the old kitchen will need to have been removed by others prior to us installing the new kitchen. Services such as water and gas will also need to be isolated prior to us arriving to fit the new kitchen. Once the new kitchen has been fitted, the services will need to be re-instated by others.

1.9

If you do not pay for the goods as per our agreed payment terms, you agree that we may, upon giving reasonable notice, enter the premises in order to inspect the goods or of you are no longer entitled to possess the goods, to recover them from your premises.

2.0

Deposits are non- refundable if works have already commenced on manufacturing the goods. If works have not yet commenced on manufacturing, we have the right to deduct any costs we have incurred from the deposit payment.

2.1
The customer shall be deemed to have accepted the goods upon completion of the ‘installation’ work, or upon delivery or collection for a ‘supply only’ sale.

2.2
Aldercroft Ltd shall not be liable to the customer or be deemed to be in breach of the conditions by reason of any delay or failure in a ‘supply only’ sale or in “installation” work if the delay or failure was due to any cause beyond Aldercroft Ltd’s reasonable control.

2.3
All risk in the goods shall pass to the customer upon completion of the ‘installation’ work, or upon delivery or collection for a ‘supply only’ sale.

2.4
Any cancellation of an order must be sent by the customer to Aldercroft Ltd in writing. The customer is liable to be charged for any materials ordered or work completed for an order at the time of cancellation.

2.5
Aldercroft Ltd warrants that it has good title to the goods and that it will transfer title in the goods to the customer pursuant to clause

2.6
Notwithstanding delivery, title in the goods shall not pass to the customer until Aldercroft Ltd has been paid in full for the goods. Nothing in this clause shall prevent Aldercroft Ltd from raising an action against the customer for payment of the goods.

2.7
The title of any unwanted items removed by Aldercroft Ltd as debris or rubbish from the customers property transfers immediately to Aldercroft Ltd.

2.8

All appliance guarantees are the customers responsibility to register. Please store all your paperwork for guarantees safely as we do not keep copies. Should you encounter any issues please contact the appliance manufacturer on the customer service line listed on the paperwork.

2.9

These conditions and the contract are governed by English Law and the parties hereby submit to the exclusive jurisdiction of the English courts.
